REPORT OF THE CONSTITUTION AND BYLAWS COMMITTEE
At a meeting of the Executive Council of the Council of Philippine American Organizations of San Diego County, Inc., held at the COPAO Center on April 4, 2005, the President of COPAO requested the Executive Vice President and concurrent Chairperson of the Constitution and Bylaws Committee, Julio De Guzman, to constitute the membership of the Committee for the purpose of reviewing the current Bylaws, and discussing and drafting amendments as necessary, for the consideration and approval of the Executive Council.
After a delay of several months in order to allow a “New Bylaws Committee” created by virtue of a Memorandum of Understanding between the Executive Council and the Board of Trustees, to propose amendments to the Bylaws, the Executive Council passed a resolution disbanding the “New Bylaws Committee” for its failure to make any substantive progress in its meetings. Accordingly, to fulfill its mandate, the original COPAO Constitution and Bylaws Committee was convened for its first meeting on December 15, 2005, followed by subsequent meetings on January 4, 2006, and January 10, 2006, to finalize and approve the Committee’s proposed amendments to the current Bylaws. After lengthy and spirited discussions among its members, the Committee has arrived at a final recommendation on amendments to the Bylaws, which is attached to this report for the consideration of the Executive Council.
In accordance with Article XVIII of the current (2004) Bylaws, the members of the Executive Council are hereby officially notified of the proposed modifications, changes, and amendments recommended by the Constitution and Bylaws Committee. The Committee further requests that the President of COPAO include the proposed amendments in the agenda of the Executive Council’s meeting at least 60 days from February 6, 2006, which will be on or about April 7, 2006, for its formal review and ratification. If the Executive Council would like to have preliminary discussions of these proposals prior to the formal meeting, the Constitution and Bylaws Committee will be glad to help clarify its recommendations.
